umfassen, bei einem gro\u00dfen Unternehmensverkauf mit internationalem Hintergrund jedoch bis zu 300 Seiten.<\/p>\n<p>Der Vertrag muss folgende Angaben enthalten:<\/p>\n<p>\u2714Name des fr\u00fcheren Verk\u00e4ufers, Datum und Art des Kaufvertrags, Kaufpreis f\u00fcr materielle und immaterielle Aktiva.<\/p>\n<p>\u2714Preis: Betrag und Modalit\u00e4ten.<\/p>\n<p>\u2714Aufstellung der Vorrechte und Pfandrechte, die an das Gesch\u00e4ft gekn\u00fcpft sind.<\/p>\n<p>\u2714Umsatz in den letzten drei Jahren oder seit dem Erwerb (wenn weniger als drei Jahre).<\/p>\n<p>\u2714Nettoergebnisse der letzten 3 Gesch\u00e4ftsjahre.<\/p>\n<p>\u2714Mietvertrag mit Datum, Dauer, Name und Adresse des Vermieters.<\/p>\n<p>Er enth\u00e4lt vor allem alle <strong>Passivgarantien<\/strong>, die mit dem Verkauf des Unternehmens verbunden sind.<\/p>\n<p>Zahlreiche Schriftst\u00fccke werden beigef\u00fcgt, um die Zustellung der Unterlagen zu formalisieren:
