Elemente des Verkaufs oder der \u00dcbertragung eines Unternehmens zusammengefasst werden m\u00fcssen.<\/p>\n<p>Dieses Versprechen muss als Grundlage f\u00fcr die Erstellung des endg\u00fcltigen Kaufvertrages verwendet werden k\u00f6nnen.<\/p>\n<p>Es kann zwei Formen annehmen:<\/p>\n<p>-Das einseitige Verkaufsversprechen (Verpflichtung einer der Parteien, einen Vertrag abzuschlie\u00dfen).<br \/>\n-Das synallagmatische Versprechen oder der Verkaufskompromiss (gegenseitige Verpflichtung der Parteien).<\/p>\n<h3>Warum ein Versprechen?<\/h3>\n<p>Ganz einfach, weil es w\u00e4hrend der Gespr\u00e4che und Verhandlungen \u00fcber den Preis und die Bedingungen einfacher ist, alle vom Verk\u00e4ufer zur Verf\u00fcgung gestellten Dokumente und Informationen als g\u00fcltig und zuverl\u00e4ssig anzusehen.<\/p>\n<p>Nach der Unterzeichnung des Protokolls hat der potenzielle \u00dcbernehmer die M\u00f6glichkeit, alle diese Informationen zu \u00fcberpr\u00fcfen oder von einem spezialisierten Unternehmen \u00fcberpr\u00fcfen zu lassen.<\/p>\n<p>Das Versprechen zum Unternehmensverkauf ist fast immer mit:<\/p>\n<p>-Aufschiebende Bedingungen in Bezug auf Genehmigungen und Zulassungen, die f\u00fcr die Aus\u00fcbung der T\u00e4tigkeit oder die Aufnahme von Darlehen erforderlich sind.<br \/>\n-Der Zahlung eines Betrags, der in der Regel 5-10% des Transaktionsbetrags entspricht, als Immobilisierungsentsch\u00e4digung.<\/p>\n<p>Um beiden Parteien Kosten zu ersparen und vor allem um zu vermeiden, dass einige \u00dcbernehmer &#171;nur mal schauen&#187; kommen, ist es in diesem Stadium der Verhandlungen m\u00f6glich, der Partei, die die Gespr\u00e4che abbricht, eine Strafe f\u00fcr den Abbruch der Verhandlungen aufzuerlegen.<\/p>\n<p>Das Versprechen muss daher in Bezug auf alle Punkte des Unternehmensverkaufs ausreichend pr\u00e4zise sein.<\/p>\n<p>Jeder Gespr\u00e4chsabbruch in diesem Stadium ist nachteilig f\u00fcr das Unternehmen, das verkauft werden
