The intermediary in the transfer of companies is an agent in charge of intervening in a usual way in the operations of sale, transfers, transmissions and takeovers of companies. His mission is to represent a party to the transaction in return for a commission. He receives a mandate allowing him to buy or sell on behalf of his principal.

Holder of a professional card

In order to practice, Actoria Europe Middle East & Africa is holder of the professional card “Transactions on business and companies” delivered by the Prefecture of Police under the number T 10282 and for the obtaining of which the Firm must present each year :

  • Proof of professional competence.
  • A certificate of insurance against the pecuniary consequences of the professional civil liability. Actoria Europe Middle East & Africa has chosen AIG Europe.
  • A satisfactory financial guarantee certificate. Actoria Europe Middle East & Africa has chosen the MMA Guarantee Fund.
  • An extract from the criminal record attesting to the absence of incapacity or prohibition to practice.
  • A certificate of opening of an escrow account. Actoria Europe Middle East & Africa has chosen Montepaschi Bank.
  • A statement of accounts drawn up by a chartered accountant/auditor.

Attention: Check that the firm or the person you are mandating respects the regulations.

Many professionals are in fact practicing illegally without a professional card. If your advisor does not have a professional card, your own civil and criminal liability may be incurred towards the buyer. Moreover, if it is legally possible to deduct the intermediary’s commission from the basis for calculating the capital gain, this deduction will be rejected if the intermediary practices without a professional card. If the firm does not mention on its commercial papers a prefectural card number such as “T 11111”, it is likely that it does not have a professional card. Do not hesitate to ask your lawyer to check whether he complies with the regulations.
