The primary goal of company audits and due diligence is to enable the buyer to assess the feasibility of the business transfer operation and determine the company’s value.
When are Audits Conducted?
Company audits and due diligence may occur either before the parties formally agree on the terms in a memorandum of understanding or afterwards, usually as a condition precedent to completing the share sale or equity investment transactions stated in the memorandum.
What is Audited?
The scope of due diligence and company audits varies and is determined on a case-by-case basis by the buyer. However, some common areas include the company’s tax, social and legal situation, its accounting and financial situation, compliance with environmental law, its property rights (patents, trademarks, software, domain names, technology, etc.), and operational situation.

Due diligence and company audits are usually conducted by external auditors specifically hired for this purpose.
Costs
The cost of the audit is negotiable between the parties as to its coverage. A foreign buyer will typically prefer to oversee the audits and bear the corresponding costs.

Il convient de noter qu’un rapprochement « vertical » (avec un fournisseur ou distributeur) présente moins d’économies d’échelle potentielles qu’une fusion horizontale (concurrent).
Par exemple, un rapprochement « vertical » ne pourrait pas bénéficier d’économies d’échelle techniques.
Toutefois, dans un rapprochement « vertical », il pourrait y avoir des économies financières et de risque.
Certaines industries réaliseront plus d’économies d’échelle que d’autres. Par exemple, un constructeur automobile a des coûts fixes élevés et réalise donc plus d’économies d’échelle que deux détaillants de vêtements.
